OpenCode Session Editor V1 — Terms of Use

1. Product and purchase

These terms govern the license to use OpenCode Session Editor V1 (the Product), provided by 漆草 (we/us). Before purchasing, read these terms and the sales page information about requirements, features, limitations, price, delivery and refunds. Follow the purchase process of your chosen sales channel. Check that channel’s terms and disclosures for the parties to the purchase contract and the handling of payments and refunds. These terms do not replace your contract with a third-party seller or payment provider.

2. Users and devices

Each license permits one person to use the Product on any number of devices that person owns or manages. Personal and business use, including selling content and other work created using the Product, is permitted.

An organization may buy licenses for its users and assign them within the organization. A license may be reassigned to another user within that organization once the former user stops using it under that license. No notification to us or approval from us is required.

Device replacement, reinstallation, migration and reasonable backup copies for safekeeping and recovery are permitted.

3. Restrictions and third-party rights

Except for reassignment within an organization as described above, transferring or sublicensing the license, lending or renting the Product, and reselling or redistributing the Product itself are prohibited. Modification, decompilation, disassembly, reverse engineering and other analysis of the Product itself are also prohibited, except where such activities cannot lawfully be prohibited.

The restrictions above apply to the Product’s original programs, screens, documentation and other materials in which we hold rights. The Product includes third-party components such as Avalonia, SkiaSharp, HarfBuzzSharp and .NET for its interface, rendering, text shaping and execution. Rights in those components remain with their respective rightsholders.

Each third-party component is governed by its original license. These terms do not restrict rights granted by that license in the covered third-party component. This does not grant permission to modify or redistribute OCSE’s original programs, screens or documentation. Rights that cannot lawfully be restricted are preserved.

Component names, purposes, original licenses and notices are collected in the accompanying third-party notices. Ordinary use does not require users to install or classify individual components. OpenCode itself is not bundled; separately obtained OpenCode is subject to the terms of its own distribution.

Microsoft runtime components

Bundled runtime components covered by Microsoft’s separate agreement may be used only as part of the Product. Standalone provision, rental or transfer, circumvention of technical limitations, removal or alteration of Microsoft or supplier notices, and unlawful use are not permitted. Reverse engineering, decompilation and disassembly are not permitted except as required by applicable law or applicable third-party licenses. Comply with applicable export laws. Original third-party licenses and rights that cannot lawfully be restricted take precedence.

Microsoft and its suppliers provide these runtime components as-is. To the extent permitted by applicable law, Microsoft gives no express warranties and excludes implied warranties of merchantability, fitness for a particular purpose and non-infringement. Recovery from Microsoft and its suppliers in relation to these components is limited, to the extent permitted by applicable law, to direct damages totaling no more than US $5; other damages, including lost profits and indirect, special, incidental or consequential damages, are excluded. Mandatory consumer protections and other non-waivable rights are preserved. This provision does not replace section 6 governing our liability.

4. Duration, updates and access

Your purchased right to use V1 is perpetual, subject to termination under section 8. Updates we publish as V1.x are provided to V1 purchasers at no additional charge. No update frequency, number of updates or maintenance period is promised. Future major versions may be sold separately. Changes to prices for new purchases do not affect existing purchasers’ V1 usage rights.

Follow your purchase channel’s instructions for updates and redownloads. The app has no proprietary automatic updater. Perpetual redownload access after sales end is not promised. Keep your own copies of downloaded packages and purchase information.

5. Product condition and data

The Product is provided as-is according to its specifications at the time of delivery. Completeness, freedom from defects or interruptions, fitness for a particular purpose, data preservation and continued compatibility with future changes to OpenCode, Windows or other external environments are not guaranteed. These statements do not restrict purchasers’ statutory rights.

Keep your own backups of important data. Overwrite and restore operations change the selected part in OpenCode. Check the target and content before confirming. The saved restore copy is not a backup of an entire conversation. See the privacy information and user guide for storage locations and the effects of deletion.

6. Liability for damages

Only where damages arise from our breach of contract or a tort in providing the Product due to our ordinary negligence (excluding gross negligence), our liability is limited to direct and ordinary damages, and the amount of damages is capped at the purchase price you paid for the Product concerned.

This limitation does not apply to intentional misconduct or gross negligence by us, our representatives or persons we engage. Where the Japanese Consumer Contract Act or other applicable law does not permit this limitation, it does not apply to that extent, and applicable law governs.

7. Cancellation and refunds

As a general rule, cancellations or refunds after purchase for the purchaser’s convenience are not accepted, including mistaken purchases, no longer needing the Product, or using an environment disclosed as unsupported before purchase.

This does not prevent statutory rights to cancellation, refunds or other remedies, including for non-delivery or failure to conform to the contract. Mandatory refund rules of the sales platform also apply. For delivery or product problems, contact the purchase channel or our support contact.

8. Breach and termination

For ordinary breaches, we will first request correction and may terminate the license if the breach is not corrected within a reasonable period. For serious breaches, including unauthorized resale, redistribution, or analysis or modification beyond what the law or section 3 permits, we may terminate without a prior correction period. After termination, stop using the Product and delete the copies of the Product you hold. The continuation or termination of rights under third-party licenses is governed by those licenses.

9. Support

Support is available in Japanese and English for installation, startup, updates, built-in features and investigation of Product problems. We may also provide guidance on OpenCode and related environments where relevant to the Product and within our ability to answer. Comprehensive environment setup, individual session repair and ongoing technical support for third-party software are not promised. No response-time or resolution deadline is guaranteed. 10. Governing law and jurisdiction

These terms are governed by Japanese law. The Yokohama District Court is the exclusive agreed court of first instance for disputes concerning these terms. This does not exclude purchaser protections or jurisdiction provided by applicable mandatory law.
