Terms of Use
These Terms of Use (hereinafter referred to as "Terms") set forth the terms and conditions for the use of the Photoshop plugin "Dual Linked Layers Panel (DLLP)" (hereinafter referred to as "The Plugin") provided by Urushigusa (hereinafter referred to as "The Provider" or "We"). By downloading, installing, or using The Plugin, the user is deemed to have agreed to these Terms.
1. Grant of License
We grant the user a non-exclusive, non-transferable, and revocable right to use The Plugin subject to these Terms.
1.1 Personal License
(1) Binding of License Key
A
Personal License Key is permanently bound to the Adobe
User ID registered at the time of initial
authentication. Once bound, the License Key cannot be
changed or migrated to a different Adobe User ID.
(2) Scope of User
This license may
only be used by the purchaser (the owner of the
registered Adobe User ID). Sharing or lending to others
is prohibited.
(3) Eligibility
Individuals or
entities meeting all the following conditions may use
this license:
- Must not have a corporate legal status (e.g., K.K., LLC, General Incorporated Association).
- Total revenue generated from creative activities utilizing parts or all of Adobe Photoshop in the past 12 months must be 20 million JPY or less.
If any of the above conditions are not met, a Business License must be purchased.
(4) Calculation of Revenue
Revenue
is calculated as follows:
- Individuals: Total gross income from sales of works, commissions, and related business activities created, edited, or processed using Adobe Photoshop, regardless of whether The Plugin was directly used.
- Entities: Revenue attributable to departments or projects related to creative activities using Adobe Photoshop, not the total gross revenue of the entity.
- Revenue from other businesses or sources not utilizing Adobe Photoshop (e.g., revenue from restaurant operations unrelated to creative work) is excluded.
(5) Installation Limit
The number
of devices that can be authenticated simultaneously is
limited by the license management system. If the limit
is reached, authentication on an existing device must be
deactivated.
(6) License Type
- Lifetime (One-time purchase): Perpetual use from the time of purchase. Includes all minor updates, patches, and bug fixes within the major version at the time of purchase (e.g., v1.x). Upgrades to the next major version (e.g., v2.0 or later) may incur additional costs.
- Subscription: Use only during the contract period.
1.2 Business License
(1) Form of Provision
Business
Licenses are provided only as a subscription (annual
contract).
(2) Nature of License Key
Business
License Keys are bound to the purchasing organization
and can be authenticated with different Adobe User IDs,
allowing for flexible changes of users within an
organization.
(3) Scope of User
One seat (one
license) allows use by one person within the
organization. The license can continue to be used even
if the user changes due to employee resignation or
transfer.
(4) Eligibility
A Business License
is required if any of the following apply:
- Organizations with corporate legal status (e.g., K.K., LLC, General Incorporated Association).
- Individuals or entities whose total revenue from creative activities utilizing Adobe Photoshop in the past 12 months exceeds 20 million JPY.
(5) Installation Limit
One license
allows simultaneous authentication and use on only one
device. To change devices, deactivate the existing
device before authenticating on the new one.
(6) Additional Licenses
For
simultaneous use by multiple people, seat licenses
corresponding to the number of users must be purchased.
1.3 Verification of License Suitability
The user is responsible for maintaining an appropriate license at all times while using The Plugin. If revenue exceeds 20 million JPY while using a Personal License, or if the user incorporates, the user must promptly upgrade to a Business License.
1.4 Prohibitions
Users may not perform the following acts beyond the scope expressly permitted in these Terms:
- Sublicensing, selling, lending, or redistributing The Plugin to third parties.
- Sharing the License Key with third parties outside the purchasing organization.
- Attempting to unbind or alter the link between a Personal License Key and an Adobe User ID.
- Simultaneously using a single license beyond the specified device limit.
- Continuing to use a Personal License despite revenue exceeding 20 million JPY or having corporate status.
2. Internet Connection and Authentication
2.1 Necessity of Authentication
The Plugin requires periodic authentication via an internet connection to verify the ownership and validity of the license.
2.2 Timing and Frequency of Authentication
The user agrees that The Plugin will automatically communicate with the license server at the following times:
(1) Initial Authentication
Upon
starting the use of The Plugin (Activation),
authentication linking the License Key and Adobe User ID
is performed via an internet connection.
(2) Startup and Periodic Verification
The Plugin re-verifies the validity of the
license upon launching Photoshop and periodically during
use.
(3) Background Communication (Heartbeat)
While using The Plugin, it confirms the
connection with the server and transmits operation logs
at regular intervals in the background.
2.3 Offline Use and Grace Period
(1) Offline Grace Period
Even in
an environment where an internet connection is
unavailable, The Plugin can continue to be used for a
maximum of 7 days (hereinafter "Grace Period") from the
last successful online authentication.
(2) Behavior After Grace Period
If
authentication via internet connection is not completed
beyond the Grace Period, the functions of The Plugin
will be temporarily locked (disabled) for security
protection. The lock will be immediately released once
an internet connection is established and authentication
is completed again.
(3) Clock Tampering
If the system
determines that the system clock has been intentionally
altered (e.g., set back to the past), license
authentication may be required even within the Grace
Period, and functions may be locked.
2.4 Authentication Server Maintenance
(1) Planned Maintenance
We may
temporarily suspend the authentication server for
maintenance or improvement with prior notice.
(2) Operation During Maintenance
Even if the authentication server is down, The Plugin
can be used normally within the aforementioned Offline
Grace Period.
2.5 Information Transmitted
During authentication and periodic communication, the following information is transmitted to our managed server (e.g., Cloudflare):
- License Key and Adobe User ID
- Device Identification Information (Authentication Instance ID) and Device Unique Identifier (Fingerprint)
- Usage Environment Information (IP Address, OS, Photoshop Version, Language Settings, etc.)
- Plugin Version Information
This information is used for license management, fraud detection, product improvement, and statistical analysis, and is strictly managed in accordance with the separate "Privacy Policy."
2.6 Authentication Failure and Restrictions
In any of the following cases, authentication will be rejected, and the use of The Plugin will be restricted or stopped:
- The License Key has expired (Subscription).
- The License Key has been invalidated or refunded.
- We have suspended the license due to a violation of these Terms.
- The maximum number of simultaneous devices (seats) has been exceeded.
- Use with an account different from the registered Adobe User ID is detected.
- The version of The Plugin is outdated and does not meet our security standards or mandatory requirements.
2.7 User Responsibility
The user shall prepare the necessary internet connection environment for using The Plugin at their own responsibility and expense. We are not responsible if authentication cannot be completed due to deficiencies in the communication environment (including blocking by firewalls, etc.).
3. Consent to Data Collection
3.1 Purpose of Data Collection
By using The Plugin, the user is deemed to have agreed to the collection and use of user information by The Provider for the following purposes, based on the separate "Privacy Policy":
- Verification and management of license validity.
- Detection and prevention of unauthorized use and piracy.
- Maintenance and improvement of the service.
3.2 Types of Information Collected
Details of the information we collect are described in the Privacy Policy, but primarily include:
(1) Authentication Information
- Adobe User ID
- License Key
- Subscription status and expiration date
- Device Identification Information (Authentication Instance ID)
(2) Device and Environment Information
- IP Address, Access Logs (including usage timeframes and license validity confirmation history)
- Basic information about the usage environment (OS type and version, Adobe Photoshop version, The Plugin version, language settings)
- Device Unique Identifier (Hardware configuration, and an identifier (hash value) in a non-personally identifiable format generated based on software environment information)
(3) Customer Information
- Email Address (Provided via LemonSqueezy)
- Name (if applicable)
3.3 Analysis for Fraud Detection and Product Improvement
To confirm compliance with these Terms and improve the service, we perform the following analyses using the collected information:
- Technical verification and analysis to detect unauthorized use of licenses.
- Environmental statistical analysis for product improvement and enhancement of support quality.
The user acknowledges that such data collection and analysis are legitimate and necessary for the protection of our intellectual property rights and service improvement.
3.4 Use of Third-Party Services
In providing the service, we utilize the following third-party services, where data is processed and stored to the extent necessary:
- LemonSqueezy: Payment and license issuance.
- Cloudflare: Authentication system, database, and edge computing infrastructure.
- Email Services (Resend / Amazon SES): Sending authentication and support emails.
- IP Geolocation Services (ip-api.com, etc.): IP address analysis for fraud detection.
3.5 Data Retention and Management
Collected information is managed as follows:
(1) Server logs may be periodically archived to long-term storage for system stability and security.
(2) Archived data is strictly managed under our control and stored for 7 years in principle (considering bookkeeping obligations under Japanese Corporate Tax Law and the statute of limitations for legal claims) for the fulfillment of the license agreement, prevention and detection of unauthorized use, fulfillment of legal obligations, and protection of rights in disputes.
3.6 Privacy Policy
For details regarding the handling of personal information (security measures, response to data breaches, international transfers, user rights, etc.), please refer to the separate "Privacy Policy." In the event of any inconsistency between these Terms and the Privacy Policy, these Terms shall prevail regarding license grant conditions and prohibitions, while the Privacy Policy shall prevail regarding the handling of personal information.
3.7 Consent to Data Collection
The data collection defined in this Article is essential for the provision of The Plugin's functions and license management. If you refuse data collection, you cannot use The Plugin.
3.8 User Rights
Users have the right to access, rectify, erase, restrict
processing, and data portability regarding their
personal information. Please refer to the Privacy Policy
for details on these rights and how to exercise them.
However, the following information may be exempt from
deletion requests due to contract fulfillment and legal
obligations:
- Adobe User ID linked to a currently valid license.
- Records necessary for the prevention and verification of unauthorized use.
- Information required to be preserved by law.
4. Prohibitions
Users must not perform the following acts beyond the scope expressly permitted in these Terms.
4.1 Circumvention of Technical Restrictions
- (1) Reverse engineering, decompiling, disassembling, or otherwise analyzing the source code of The Plugin.
- (2) Acts to bypass, invalidate, or interfere with the license authentication process.
- (3) Acts to remove, alter, or disable security features, DRM, encryption, or technical protection measures embedded in The Plugin.
- (4) Intentionally changing the system time settings to illegally extend the Offline Grace Period.
- (5) Using debuggers, disassemblers, packet analysis tools, etc., to analyze the operation of The Plugin.
4.2 Unauthorized Use and Infringement of Rights
- (1) Lending, transferring, selling, or publishing the License Key to third parties.
- (2) Attempting to unbind or alter the link between a Personal License Key and an Adobe User ID.
- (3) Using technical means such as IP address spoofing or unauthorized use of VPNs to conceal identity, location, or organizational affiliation while using The Plugin.
- (4) Sharing a single License Key among multiple people.
- (5) Continuing to use a Personal License despite not meeting the eligibility requirements (revenue under 20 million JPY, no corporate status).
- (6) Using the license beyond the simultaneous device limit.
4.3 Redistribution and Creation of Derivatives
- (1) Redistributing, transferring, or sublicensing The Plugin or any part thereof to third parties, whether for a fee or free of charge.
- (2) Creating derivative works or modified versions based on The Plugin.
- (3) Developing or selling products that replicate the source code, algorithms, or substantially identical UI screen designs of The Plugin.
- (4) Uploading the installation file of The Plugin to public websites, file-sharing services, torrent sites, etc.
4.4 Infringement of Intellectual Property Rights
- (1) Removing, altering, or concealing copyright notices, trademarks, logos, or other proprietary notices included in The Plugin.
- (2) Using our operator name "Urushigusa," plugin name "Dual Linked Layers Panel," or its abbreviation "DLLP" for commercial purposes without our permission.
- (3) Unauthorized use of the functions, appearance, or name of The Plugin to impersonate or suggest a relationship with us.
4.5 Illegal Acts and Inappropriate Use
- (1) Using The Plugin to create illegal content (child pornography, pirated copies, copyright-infringing materials, etc.).
- (2) Creating or editing image files containing malware, viruses, or other harmful programs.
- (3) Using The Plugin to create content intended for fraud, threats, defamation, or invasion of privacy.
- (4) Use for purposes contrary to public order and morals.
4.6 Attacks on Servers
- (1) Unauthorized access, DDoS attacks, or other disruptive acts against our authentication servers, APIs, or related systems.
- (2) Acts that place an excessive load on the server, such as excessive requests to the authentication API or mass access via automated scripts.
- (3) Attempting to illicitly obtain license information of other users.
4.7 Measures Against Violation
In the event of a violation of the prohibitions in this Article, we may take the following measures:
- Immediate suspension or invalidation of the license without prior notice.
- Termination of the contract without refund.
- Claims for damages.
- Legal action, including criminal complaints.
If the user's violation causes damage to us or a third party, the user shall be responsible for compensating all such damages.
5. Termination of Contract
5.1 Termination by The Provider
We may immediately terminate this contract and suspend or invalidate the user's license without prior notice if any of the following apply:
- (1) The user violates any provision of Article 4 (Prohibitions).
- (2) The user violates other material provisions of these Terms and fails to correct the violation within 7 days after our request for correction.
- (3) Unauthorized use or acquisition of the license is discovered.
- (4) We reasonably determine that the relationship of trust between us and the user has been significantly damaged.
5.2 Subscription Payment Failure
(1) Immediate Restriction
If a
subscription payment fails on the renewal date due to
credit card expiration, insufficient funds, etc., or if
the status becomes "past_due," the right to use The
Plugin will be immediately stopped (locked).
(2) Resumption of Use
Once payment
information is updated via the LemonSqueezy Customer
Portal and successful payment is confirmed by the
system, the lock will be automatically released, and use
can be resumed.
(3) Forced Cancellation
If payment
is not completed for a certain period, the subscription
contract may be automatically cancelled.
5.3 Cancellation by User (Subscription)
(1) Method of Cancellation
Users
with a subscription contract can cancel their
subscription at any time via the LemonSqueezy Customer
Portal.
(2) Effective Date of Cancellation
Cancellation requests take effect at the end of the
current billing period (monthly or annual). Even if
cancelled mid-period, The Plugin can be used until the
end of the period.
(3) No Prorated Refund
Even if
cancelled mid-period, no prorated refunds will be given
for fees already paid.
(4) Stop of Automatic Renewal
Once
cancellation procedures are completed, future automatic
renewals and charges will be stopped.
5.4 Handling of Lifetime Licenses
Users cannot terminate the contract for one-time purchase Personal Licenses. However, use can be effectively terminated by stopping the use of The Plugin and deleting all copies.
5.5 Effect of Termination
Upon termination of the contract, the following effects shall occur:
(1) License Expiration
The license
under this contract expires immediately, and the user
loses the right to use The Plugin.
(2) Obligation to Cease Use
The
user must immediately stop using The Plugin and delete
or uninstall all copies (including backups).
(3) Invalidation of Authentication
We will invalidate the License Key and device
authentication. This will automatically stop the
functionality of The Plugin.
(4) Data Handling
The user's
license information and usage history data will continue
to be stored in our database in accordance with the
retention period specified in Article 3. If deletion is
desired, please request it in accordance with the
Privacy Policy.
5.6 Re-contracting After Termination
If a user whose contract was terminated by our decision wishes to purchase a new license for The Plugin, we may refuse this at our sole discretion.
5.7 No Refund Upon Termination for Violation
Based on Article 5.1, if we terminate the contract due to a user's violation, no refunds will be given for fees already paid.
5.8 Reservation of Right to Terminate
Our right to terminate under this Article does not preclude claims for damages or other legal rights. In addition to or in lieu of contract termination, we may claim damages, seek injunctions, or take other appropriate legal measures.
6. Refund Policy
6.1 Prerequisite of Purchase (Free Trial)
The Plugin is available for free download and includes a
30-day fully functional free trial period that does not
require purchase. The user is strongly advised and
expected to test The Plugin extensively in their
specific environment during this trial period.
By purchasing a license, the user acknowledges that they
have verified the functionality and compatibility of The
Plugin and are satisfied with its performance.
6.2 General Policy: All Sales Final
Due to the nature of digital goods and the provision of a free trial, all sales are considered final. We do not offer refunds, returns, or exchanges for reasons such as:
- "It didn't work on my computer" (Failure to test during trial).
- "I changed my mind" or "I bought it by mistake."
- "I don't use it anymore."
- Incompatibility with future versions of Photoshop or OS updates.
6.3 Waiver of Right of Withdrawal (EU/UK Consumers)
If you are a consumer residing in the EU or UK, you generally have a right to withdraw from a distance contract within 14 days. However, by clicking "Pay" and completing the purchase process:
(1) You expressly request and consent to the immediate
delivery of the License Key.
(2) You acknowledge that you thereby lose your right of withdrawal as soon as the
License Key is provided to you (displayed or
emailed), regardless of whether you have activated it or
downloaded the plugin file.
6.4 Exceptions for Refunds
Notwithstanding the above, refunds after the issuance of a License Key will be considered ONLY in the following specific cases:
(1) The License Key provided was invalid or already used
due to a system error.
(2) A verifiable payment processing error (e.g., duplicate
charge) occurred.
Requests based on user preference or environment compatibility
will be rejected in accordance with Article 6.1.
6.5 How to Request a Refund
To request a refund, please contact us at [email protected]. Please include your purchase date, License Key, and reason for the refund request.
6.6 Refund Processing
(1) Approved refunds will be processed through the
original payment method via our payment provider.
(2) Refund processing typically takes 5-10 business days
depending on your payment method.
(3) Upon refund approval, your License Key will be immediately
invalidated and you must cease using The Plugin.
6.7 Cases Not Eligible for Refund
Refunds will not be provided in cases of contract termination due to violation of these Terms (Article 5).
7. Disclaimer
7.1 "AS-IS" Warranty
The Plugin is provided "AS-IS". We make no warranties, express or implied, regarding The Plugin, including:
- Warranty of merchantability.
- Warranty of fitness for a particular purpose.
- Warranty of non-infringement of third-party rights.
- Warranty that no errors, bugs, or defects exist.
- Warranty that it will operate without interruption or that security is perfect.
- Warranty that specific results will be obtained from the use of The Plugin.
7.2 Operating Environment
The official operating environment for The Plugin is
described in separate documents designated by us, the
sales page, or the in-plugin help.
We do not
guarantee that The Plugin will operate normally in the
following environments:
- Versions of Adobe Photoshop not explicitly stated as supported.
- Operating systems not explicitly stated as supported.
- Environments not meeting minimum system requirements (memory, storage, etc.).
- Virtual environments, emulators, remote desktop environments, etc.
7.3 Compatibility with Third-Party Products
Due to specification constraints of Adobe Photoshop, The Plugin may conflict with third-party products or specific functions.
Examples of incompatibility (including but not limited to):
- Document manipulation by other companies' plugins.
- Script Events Manager, Batch processing.
- Operations from Adobe Bridge.
- Some extensions (e.g., Substance 3D integration panels).
The above are merely representative examples, and complete compatibility with these or other functions, third-party tools released in the future, or new features of Photoshop is not guaranteed. We are not responsible for any malfunctions caused by using these functions.
7.4 Data Loss and Business Interruption
We are not responsible for any of the following events caused by the use, inability to use, or malfunction of The Plugin:
- Loss, corruption, or leakage of data.
- Interruption or delay of business.
- Corruption of works, projects, or files.
- Defects in Adobe Photoshop or other software.
- Failure or damage of hardware.
Users shall back up important data before using The Plugin and use The Plugin at their own responsibility.
7.5 Disclaimer of Third-Party Services
The Plugin depends on third-party services such as LemonSqueezy and Cloudflare. We are not responsible if The Plugin cannot be used due to failure, suspension, specification changes, or termination of these services.
7.6 Availability of Authentication Server
We do not guarantee the uptime of the authentication server. Even if authentication is temporarily unavailable due to server maintenance, failure, network issues, etc., the plugin can be used within the Offline Grace Period specified in Article 2.
7.7 Updates and Support
(1) No Obligation to Provide
We do
not guarantee and are not obligated to provide:
- Future updates, improvements, or new features of The Plugin.
- Compatibility with new versions of Adobe Photoshop.
- Technical support or customer support.
- Perpetual provision of The Plugin.
(2) Voluntary Provision
We may
voluntarily provide updates or support at our own
discretion. However, such provision is not our
obligation and does not guarantee future provision.
(3) Right to Terminate Service
We
reserve the right to terminate updates and support for
The Plugin based on business judgment. In this case, we
will strive to provide prior notice to a reasonable
extent, but we do not bear a notification obligation.
(4) Forced Updates
For security
reasons or critical functional fixes, we may restrict or
lock (disable) the use of versions of The Plugin below a
certain version. In this case, users can resume use by
updating to the latest version.
7.8 Limitation of Liability
(1) Exclusion of Indirect Damages
We shall not be liable for the following damages, even
if we have been advised of the possibility of such
damages in advance:
- Indirect damages, special damages, incidental damages, consequential damages.
- Loss of profit, loss of business opportunity, decrease in sales.
- Damages due to loss of data.
- Damage to credit or reputation.
- Costs of procuring substitute goods or services.
- Damages based on claims from third parties.
(2) Cap on Liability
In any case,
our total liability for damages under these Terms shall
be capped at the amount paid by the user to us in the 12
months preceding the date the event causing the damage
occurred. For one-time purchase licenses, the cap on
liability shall be the purchase price of said license.
7.9 User Responsibility
The user shall deal with any claims from third parties related to the use of The Plugin at their own responsibility and expense. If damage is caused to us or a third party due to the user's violation of these Terms or inappropriate use, the user shall be responsible for compensating us for such damage.
7.10 Survival of Disclaimer
The disclaimers in this Article shall remain effective even after the termination of the contract.
8. Governing Law and Jurisdiction
8.1 Governing Law
The formation, validity, performance, and interpretation of these Terms shall be governed by the laws of Japan.
8.2 Jurisdiction
In the event of a dispute regarding these Terms or the use of The Plugin, the Yokohama District Court shall be the exclusive agreed court of first instance.
9. Changes to Terms
9.1 Right to Change
We may change these Terms without obtaining the individual consent of the user in the following cases:
- (1) When the change conforms to the general interest of users.
- (2) When the change does not contradict the purpose of this contract and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, the content of the change, and other circumstances related to the change.
9.2 Notification of Changes
(1) Notification Method
When
changing these Terms, we will notify users by one or
more of the following methods:
- Screen display or popup notification upon launching The Plugin.
- Posting on our official website.
- Posting on the Operator's SNS accounts.
- Sending emails to purchasers via LemonSqueezy.
(2) Content of Notification
The
notification of change will include the following
matters:
- The fact that the Terms of Use will be changed.
- The content of the Terms of Use after the change (or a summary of the changes).
- The effective date of the change.
9.3 Effective Date
The modified Terms of Use shall take effect from the effective date specified by us. We will set the effective date after a reasonable period from the notification.
9.4 Consent to Changes
If the user continues to use The Plugin on or after the effective date of the modified Terms of Use, the user is deemed to have agreed to the modified Terms of Use. If the user does not agree to the changes, the user must stop using The Plugin by the effective date and terminate the contract in accordance with Article 5.
9.5 Change History
We will keep a record of changes to these Terms to a reasonable extent and may disclose this upon request from the user.
10. General Provisions
10.1 Entire Agreement
These Terms constitute the entire agreement between us and the user regarding the use of The Plugin and supersede all prior agreements, understandings, and representations regarding the subject matter of these Terms.
10.2 Severability
Even if any provision of these Terms is determined to be invalid or unenforceable, it shall not affect the validity and enforceability of the other provisions.
10.3 Waiver
Even if we do not request the performance of any provision of these Terms, it shall not be deemed a waiver of that right.
10.4 Prohibition of Assignment
Users may not assign rights or obligations under these Terms to a third party without our prior written consent. We may assign these Terms without the user's consent.
10.5 Governing Language
These Terms are drawn up in the Japanese language, which shall be the governing language. Any translation into English or any other language is for reference purposes only. In the event of any conflict or inconsistency between the Japanese version and a translated version, the Japanese version shall prevail.
