1. 対象と取得・購入手続き

本規約は、漆草（以下「当方」）が提供するCanvas Group Exporter（無料版・有料版。以下「本プラグイン」）の利用許諾に適用します。取得又は購入前に、本規約、配布・販売ページの対応環境、機能、制限、価格、提供方法及び返金条件を確認してください。取得・購入は各配布・販売経路の手続きに従います。購入契約の当事者、決済・返金の取扱いは購入先の表示と適用条件を確認してください。本規約は販売・決済事業者との契約を置き換えるものではありません。

2. 利用できる人と端末

無料版は、正規の配布経路から取得した方が、本人の所有又は管理する端末で利用できます。利用期限はありません。1回に書き出せるPNGは3件までです。

有料版は1ライセンスにつき1名が利用できます。その本人が所有又は管理する端末の利用台数は制限しません。組織は利用人数分のライセンスを購入して利用者へ割り当てることができます。旧利用者がそのライセンスに基づく利用を終了した場合、組織内の別の利用者へ再割当できます。再割当に当方への申告・承認は不要です。有料版には1回の書き出し件数の制限はありません。

両版とも個人利用・業務利用・商用制作を認めます。端末の買替え、再インストール、環境移行及び保管・復旧のための合理的なバックアップコピーを認めます。アカウント登録やライセンスキーを必要としないことは、他者とのライセンス共有を許可するものではありません。購入・ダウンロード手続きに必要なアカウント等は各経路の案内に従ってください。

3. 禁止事項・独自資産・第三者部分

前条の組織内再割当を除き、利用許諾の第三者への譲渡、再許諾、貸与・レンタル、本プラグイン自体の再販売・再配布を禁止します。本プラグイン独自部分の改変、逆コンパイル、逆アセンブル、リバースエンジニアリングその他の解析行為も禁止します。ただし、法令上禁止できない行為及び第三者の原許諾により認められる行為は除きます。

独自コード、画面、ガイド、製品アイコン及び当方制作の紹介文章・画像の権利は、別途表示のある部分を除き、当方に帰属します。正規に取得したガイド・アイコン等は本プラグインの利用に必要な閲覧・表示・複製・バックアップに使用できます。これらの素材の単体利用、改変・再配布・再販売又は他製品への流用を包括的に認めるものではありません。法令又は別途の許諾に基づく利用は妨げません。

第三者部分には同梱のTHIRD_PARTY_NOTICES.txtに示す各原許諾が適用され、本規約はそれらの権利を制限しません。第三者部分の許諾を理由に、本プラグイン独自部分の改変・再配布を許可するものではありません。

4. 利用期間・更新・再取得

有料版は買い切りです。購入したメジャーバージョンの利用権は、第9条による終了の場合を除き無期限です。当方が同一メジャーバージョン内で公開する更新は追加料金なしで提供します。更新の頻度・回数・提供期間は約束しません。将来のメジャーバージョンは別売りとなる場合があります。新規販売価格の変更は、既に購入したバージョンの利用権に影響しません。

無料版の既に取得したバージョンも、第9条による終了の場合を除き利用期限を設けません。無料版の継続的な配布・更新は約束しません。

更新・再取得は取得・購入経路の案内に従ってください。配布・販売終了後も永久に再取得できることは約束しません。取得した配布ファイルと購入情報はご自身でも保管してください。

5. 制作物とAdobe製品

利用者の入力作品、PSD／PSB及び出力PNGの権利を、本プラグインの利用を理由として当方が取得することはありません。本プラグインの利用だけを理由に、制作物へのクレジット表示や追加のライセンス条件を課しません。作品や素材に元から適用される第三者の権利・条件は維持されます。

Photoshopの利用にはAdobeとの契約が別途必要です。本プラグインはAdobe製品の利用権を付与せず、Photoshop又はUXPの実行環境を同梱しません。

6. 提供内容・データ・互換性

本プラグインは提供時点の仕様に基づき現状有姿で提供します。完全性、無欠陥・無停止、特定目的への適合、データ保全又は将来のPhotoshop・OS等の変更への継続対応を保証しません。これは法令により利用者に認められる権利を制限するものではありません。

元文書を変更せず作業用の複製を用いて書き出す設計ですが、重要なデータは利用者自身でもバックアップしてください。出力対象、保存先及び同名ファイルの処理方法を確認して実行してください。色モード・カラープロファイルの変換等により、出力PNGと編集画面の見え方が異なる場合があります。

本プラグインによる画像処理は利用者の端末内で行います。本プラグインは作品のアップロードや利用状況の自動送信を行いません。Adobe製品、配布・販売サイト及び利用者が任意に利用する問い合わせ窓口の情報の取扱いは、それぞれの説明に従います。

7. 損害賠償の範囲

有料版について、当方の軽過失（重大な過失を除く過失）による債務不履行又は本プラグインの提供に際する不法行為により利用者に損害が生じた場合に限り、当方が負う損害賠償責任は直接かつ通常の損害を対象とし、その賠償額は当該製品について利用者が支払った購入代金を上限とします。

前項の制限は、当方、当方の代表者又は当方の使用する者の故意若しくは重大な過失による場合には適用しません。また、消費者契約法その他の適用法令により当該制限を適用できない場合には、その限りで適用せず、法令に従います。

無料版については、本条による賠償額の上限を設けず、適用法令に従います。

8. キャンセル・返金

有料版の購入間違い、購入後に不要になった場合、購入前に明示した非対応環境での利用等、利用者の都合による購入後のキャンセル・返金は原則としてお受けしません。購入前に無料版でご利用の環境と必要な出力をご確認ください。

ただし、製品の不提供や契約内容への不適合等について法令上認められる解除・返金その他の権利を妨げません。販売経路で義務付けられる返金等の取扱いがある場合は、その取扱いに従います。問題がある場合は購入経路の窓口又は当方の問い合わせ窓口へご連絡ください。無料版の事前利用を、法令上の権利行使の条件にはしません。

9. 違反と利用許諾の終了

通常の違反については当方から是正を求め、合理的な期間内に是正されない場合、利用許諾を終了できます。無断再販売・再配布、法令又は第3条で認められる範囲を超える解析・改変等の重大な違反については、事前の是正期間を設けずに利用許諾を終了できます。終了後は本プラグインの利用を停止し、保有する本プラグインのコピーを削除してください。利用者自身の制作物・出力PNGの削除を求めるものではありません。第三者ライセンスに基づく権利の存続・終了は各ライセンスに従います。

10. サポート・問い合わせ

日本語・英語で、本プラグインの導入・起動・更新・既定機能・不具合確認について回答可能な範囲で対応します。応答時間・解決期限及び個別要望への対応は保証しません。包括的なPhotoshopの操作指導、制作代行、個別PSDの修復代行又は第三者ソフトの継続的な技術サポートは約束しません。

11. 準拠法・管轄

本規約は日本法に準拠します。本規約に関する紛争については横浜地方裁判所を第一審の専属的合意管轄裁判所とします。ただし、適用される強行法規により利用者に認められる保護又は管轄を排除するものではありません。

English (reference translation)

1. Scope and obtaining or purchasing the plugin

These terms apply to the license to use Canvas Group Exporter (Free and Paid editions, the “Plugin”) provided by Urushigusa (“we”, “us”). Before obtaining or purchasing the Plugin, review these terms and the supported environments, features, limits, price, delivery method and refund conditions shown on the distribution or sales page. Follow the procedures of the relevant distribution or sales channel. Check that channel’s notices and applicable terms for the parties to the purchase contract and the handling of payments and refunds. These terms do not replace your agreement with a sales or payment provider.

2. Users and devices

Anyone who obtains the Free edition through an authorized distribution channel may use it on devices they own or manage. There is no time limit. The Free edition exports up to three PNGs per run.

Each Paid edition license is for one individual, with no limit on the number of devices that individual owns or manages. An organization may purchase a license for each user and assign licenses within the organization. A license may be reassigned to another person within the organization once the previous user stops using it under that license. No notice to us or approval from us is required for reassignment. The Paid edition has no per-run export limit.

Both editions may be used for personal, business and commercial creative work. Device replacement, reinstallation, migration and reasonable backup copies for storage or recovery are permitted. The absence of an account-registration or license-key requirement does not authorize sharing a license with other people. Follow each channel’s instructions for any accounts required to purchase or download the Plugin.

3. Restrictions, original assets and third-party portions

Except for organizational reassignment under Section 2, transferring or sublicensing the license to a third party, lending or renting it, or reselling or redistributing the Plugin itself is prohibited. Modifying, decompiling, disassembling, reverse engineering or otherwise analyzing the Plugin’s independently developed portions is also prohibited, except where such acts cannot be prohibited by law or are permitted under an applicable third-party license.

Except where otherwise indicated, rights in our original code, interface, guides, product icons and promotional text and images belong to us. Lawfully obtained guides, icons and similar materials may be viewed, displayed, copied and backed up as necessary to use the Plugin. This does not generally authorize standalone reuse, modification, redistribution, resale or reuse in other products. Uses permitted by law or separate authorization are not restricted.

Third-party portions are subject to the original licenses identified in the bundled THIRD_PARTY_NOTICES.txt. These terms do not restrict rights granted by those licenses. Licenses for third-party portions do not authorize modification or redistribution of the Plugin’s independently developed portions.

4. Duration, updates and downloading again

The Paid edition is a one-time purchase. The right to use the purchased major version has no time limit, except upon termination under Section 9. Updates we release within that major version are provided at no additional charge. We do not promise any frequency, number or duration of updates. Future major versions may be sold separately. Changes to the price for new purchases do not affect your right to use a version already purchased.

An already obtained version of the Free edition likewise has no time limit, except upon termination under Section 9. We do not promise continued distribution or updates of the Free edition.

Follow your distribution or purchase channel’s instructions for updates and downloading again. We do not promise that downloads will remain available forever after distribution or sales end. Keep your own copies of the distribution files and purchase records.

5. Creative work and Adobe products

We do not acquire rights in your input artwork, PSD/PSB documents or output PNGs merely because you use the Plugin. Use of the Plugin alone does not impose a credit requirement or additional license conditions on your creative work. Existing third-party rights and conditions applicable to artwork or materials remain in effect.

Use of Photoshop requires a separate agreement with Adobe. The Plugin does not grant a license to Adobe products and does not bundle the Photoshop or UXP runtime.

6. Provision, data and compatibility

The Plugin is provided as is according to its specifications at the time of provision. We do not guarantee completeness, freedom from defects or interruptions, fitness for a particular purpose, data preservation or continued compatibility with future changes to Photoshop, operating systems or other external environments. This does not restrict rights granted to users by applicable law.

Although the Plugin is designed to export using working copies without changing the source document, keep your own backups of important data. Check export targets, the destination and how existing filenames will be handled before exporting. Color-mode and color-profile conversions may cause an exported PNG to look different from the source document in the editor.

The Plugin processes images locally on your device. It does not upload your artwork or automatically transmit usage information. Information handled by Adobe products, distribution or sales websites, or contact services you choose to use is subject to their respective explanations.

7. Liability for damages

For the Paid edition, only where loss results from our breach of contract or a tort committed in providing the Plugin due to our ordinary negligence (excluding gross negligence), our liability is limited to direct and ordinary damages, up to the purchase price you paid for the product concerned.

This limitation does not apply to intentional misconduct or gross negligence by us, our representatives or persons we use in performing our obligations. Where the Consumer Contract Act or other applicable law prevents application of this limitation, it does not apply to that extent, and the law governs.

For the Free edition, this section sets no monetary cap on liability; applicable law governs.

8. Cancellation and refunds

As a general rule, we do not accept cancellations or refunds of the Paid edition for user convenience after purchase, including mistaken purchases, no longer needing the product, or use in an environment disclosed as unsupported before purchase. Please use the Free edition to check your environment and required output before purchasing.

This does not prevent cancellation, refunds or other rights granted by law for non-delivery or nonconformity with the contract. Mandatory refund handling imposed by the sales channel will be followed. If there is a problem, contact your purchase channel or our contact service. Prior use of the Free edition is not a condition for exercising statutory rights.

9. Violations and termination

For ordinary violations, we may request correction and terminate the license if the violation is not corrected within a reasonable period. For serious violations, such as unauthorized resale or redistribution, or analysis or modification beyond what law or Section 3 permits, we may terminate the license without a prior correction period. After termination, stop using the Plugin and delete your copies of it. This does not require deleting your own creative work or output PNGs. The continuation or termination of rights under third-party licenses is governed by those licenses.

10. Support and contact

We provide support in Japanese and English for installation, startup, updates, existing features and investigation of issues, to the extent we can respond. We do not guarantee response times, resolution deadlines or fulfillment of individual requests. We do not promise comprehensive Photoshop instruction, creative production services, repair of individual PSD files or ongoing technical support for third-party software.

11. Governing law and jurisdiction

These terms are governed by Japanese law. The Yokohama District Court is the exclusive agreed court of first instance for disputes concerning these terms. This does not exclude protections or jurisdiction granted to users by applicable mandatory law.
